This role offers extensive interaction with clients, focusing on advising business development companies (BDCs), registered closed-end funds, exchange-traded funds (ETFs), and real estate investment trusts (REITs) on regulatory and transactional matters. The ideal candidate will have skills and knowledge related to a broad range of transactional, regulatory, and corporate governance matters, including expertise under the Securities Exchange Act of 1934, the Securities Act of 1933, and the Investment Company Act of 1940. Specific understanding of registered investment companies and the Investment Company Act of 1940 is valued, with experience working with REITs considered a plus. Excellent writing and analytical skills are essential, along with a background in Securities and Capital Markets. Investment management experience is a bonus. Duties: Provide counsel to clients on regulatory and transactional matters related to capital markets and investments. Assist in public and private offerings, mergers and acquisitions, and ongoing regulatory compliance. Conduct legal research and analysis on securities laws and regulations. Draft and review transactional documents, including offering documents and agreements. Collaborate with clients, partners, and senior associates on various legal matters. Stay updated on developments in securities laws and regulations. Requirements: 2-5 years of experience in Capital Markets and Investments. Background in Securities and Capital Markets. Experience with registered investment companies and the Investment Company Act of 1940 preferred. Experience working with REITs is a plus. Excellent writing and analytical skills. Strong understanding of the Securities Exchange Act of 1934, the Securities Act of 1933, and related regulations. Admission to the District of Columbia Bar (or ability to waive in). Education: Juris Doctor (J.D.) from an accredited law school. Certifications: Admission to the District of Columbia Bar. Skills: Proficiency in legal research tools such as Westlaw or LexisNexis. Ability to manage multiple projects and deadlines. Strong attention to detail and accuracy. Effective communication skills for client interactions and team collaboration.
