The CorporateCounsel will be primarily responsible for advising the Company on various legal and corporate governance matters. Responsibilities include assisting in managing litigation and pre-litigation issues, assisting with the creation and implementation of corporate policies and compliance programs, and drafting, reviewing, negotiating and managing a wide variety of contracts through Company’s contract lifecycle management system (CLM), including but not limited to vendor agreements, service contracts, real estate agreements, transportation partner agreements, and confidentiality agreements. This role will collaborate with internal stakeholders across departments to ensure legal compliance and mitigate risks.
In This Role, You Will:
Prepare, analyze, and negotiate a variety of contracts and agreements, ensuring alignment with Company goals, minimizing risk, and securing the best possible terms.
Develop and implement internal policies and procedures related to contract management.
Ensure all contracts comply with relevant Company legal standards, including but not limited to, risk and liability allocation, insurance coverage analysis, liability limits, term lengths and renewals, confidentiality concerns, intellectual property, data/privacy, sign-off authority, and adherence to transportation industry-specific rules and regulations.
Provide advice and counsel regarding regulatory compliance, including antitrust, trade regulation, employment, and HSSE.
Perform legal research on identified issues, provide analysis, and advise Company on legal strategies and corresponding risks.
Assist in management of litigation and pre-litigation matters, including but not limited to issue spotting, fact gathering, settlement negotiations, review of and revision of pleadings, and engagement of and coordination with outside counsel.
Analyze litigation trends and keep apprised of current legislation, particularly in the areas of transportation, employment, HSSE, data/privacy, and corporate law.
Provide guidance on contract disputes and assist in the resolution of contract-related issues, including liaising with outside counsel if needed.
Participate in the development and administration of Company policies and procedures.
Conduct training sessions for Company personnel on contract best practices, other corporate policies, and compliance with relevant legal issues.
All other duties and projects as assigned.
Qualifications

Juris Doctor (JD) from an accredited law school.
A member in good standing of the NC state bar, or another state bar with ability to seek admission in NC.
5-10 years of experience in corporate law, preferably within a corporate legal department and/or law firm.
Strong experience working with a variety of contracts, including commercial, vendor, and transportation agreements.
Outstanding legal research, writing, communication, and contract drafting capabilities.
Excellent negotiation and problem-solving skills with a demonstrated ability to finalize agreements in a rapid-paced business environment while protecting the Company’s interests.
Ability to work under pressure and handle multiple projects in a fast-paced environment.
Exceptional attention to detail and organizational skills.
Strong interpersonal and communication skills, with the ability to work with a diverse group of employees and outside professionals.
Demonstrated expertise to translate and describe legal concepts to non-legal stakeholders.
Previous experience in the logistics and transportation industry preferred.
Expertise and working knowledge of CLM systems required; familiarity with Contract PodAI (CPAI) or comparable CLM tool preferred.

This is a hybrid role based in Charlotte, NC.
