Job Description
Opportunity at a Glance The Corporate Counsel is able to provide significant support to the Legal Team and the organization, on matters of critical importance. They have a broad substantive skill-set, plus the interpersonal strengths, resourcefulness and drive to handle directly the wide ranging routine legal needs of the Company's various businesses and functional departments.
Responsibilities Advises on a broad range of securities laws and corporate governance matters. Assists in the preparation and review of securities filings (annual, quarterly and current reports, proxy statements and Section 16 filings). Maintains policies and procedures to ensure compliance with Sarbanes-Oxley, New York Stock Exchange rules, SEC regulations (e.g. insider trading, Reg. FD) and other regulations applicable to public companies. Prepares and reviews meeting materials for the Board of Directors and its committees. Provides legal support for domestic and foreign subsidiaries. Provides legal support to Strategy and Corporate Development function, including on matters relating to mergers and acquisitions (e.g. due diligence, drafting agreements). Provides legal support to the Finance function, including treasury and tax. Provides legal and corporate governance support for institution boards. Performs other duties as assigned. Complies with all policies and standards. Qualifications
J. D. from an accredited law school required. 5+ years prior experience as an attorney practicing in a law firm or corporate in-house legal experience required. Strong securities and corporate governance experience preferred. Strong mergers and acquisition and transaction experience preferred. Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity. Exemplary analytical and interpretation skills; strong legal research, writing, negotiation and organizational skills. Ability to effectively communicate and interact with clients at all levels of the organization, including senior management. Must be able to exercise sound judgment and work independently and efficiently under time pressures and deadlines in a fast-paced environment with attention to detail. Possesses strong work ethic and customer service orientation and ability to prioritize conflicting demands from multiple business clients. Must be in good standing with the Illinois State bar. In support of the pay transparency laws enacted across the country, the expected salary range for this position is between $100,171.61 and $181,034.70. Actual pay will be adjusted based on job-related factors permitted by law, such as experience and training; geographic location; licensure and certifications; market factors; departmental budgets; and responsibility.
