Profile: A law firm is seeking a Mid / Senior Investment Funds Associate Attorney to join their Washington, DC office. The ideal candidate will have a strong background in supporting closed-end funds such as tender offer funds, interval funds, and/or business development companies, with at least 4 years of experience in Investment Company Act and Investment Advisers Act matters. Experience with open-end funds and ETFs is a plus. Excellent academic credentials, writing skills, and interpersonal skills are essential for this role.
Duties and Responsibilities:
- Provide legal support for closed-end funds, including tender offer funds, interval funds, and business development companies.
- Draft and review fund formation and offering documents, including private placement memoranda, partnership agreements, and related agreements.
- Advise clients on compliance with the Investment Company Act, Investment Advisers Act, and other applicable securities regulations.
- Assist in structuring and negotiating fund transactions, including investment management agreements, advisory agreements, and fund governance documents.
- Support clients in the preparation of regulatory filings and disclosures required by the SEC and other regulatory bodies.
- Conduct legal research and provide strategic advice on fund formation, investment management, and regulatory compliance matters.
- Collaborate with clients, internal teams, and external stakeholders to address fund-related issues and ensure compliance with legal and regulatory requirements.
- Participate in client meetings, presentations, and negotiations, demonstrating a high level of client service and professionalism.
- Contribute to the development of marketing materials and thought leadership pieces related to investment funds.
Requirements:
- At least 4 years of experience in Investment Company Act and Investment Advisers Act matters.
- Experience supporting closed-end funds (tender offer funds, interval funds, business development companies) is required.
- Experience with open-end funds and/or ETFs is a plus.
- Proven ability to handle complex fund formation and regulatory matters.
Education and Certifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admitted to the State Bar and in good standing.
Skills:
- Strong background in investment funds, with specific expertise in closed-end funds and relevant securities laws.
- Excellent writing, drafting, and analytical skills.
