We are looking for a

Senior Corporate Counsel

in 401 N Michigan Ave, Suite 1400, Chicago, IL 60611 USA. Your mission will be to:

Purpose (Objective):

This position is responsible for providing key legal and compliance counsel to the Company's Canadian business operations and leading critical, high-visibility projects within the larger global organization by collaborating with a dynamic, multidisciplinary team and leveraging collective expertise to support the Company's objectives. Main responsibilities: Commercial Contracts:

Review, draft, negotiate, and provide counsel on a variety of commercial contracts, including master service agreements, standalone service agreements, statements of work, SaaS agreements, and non-disclosure agreements. Build out playbooks, resources, and related guidelines to empower internal stakeholders.

Corporate Governance:

Review, update, and maintain corporate formalities and regulatory requirements for the Company, and implement and maintain compliance initiatives as required.

Compliance and Risk Management:

Draft and update various compliance policies, provide strategic advice on regulatory developments in areas such as data privacy, deliver compliance-related training, and support risk management initiatives.

Disputes and Litigation:

Manage disputes, claims, and litigation matters, including oversight of external counsel as needed.

Labor and Employment:

Advise business personnel on labor and employment matters.

Project Work:

Collaborate with various groups throughout the global organization, including finance, tax, quality, operations, purchasing and sales, to develop policies, ensure compliance, and improve the quality of the Company's services.

Mergers and Acquisitions:

Support the Company's business development in M&A transactions through the provision of strategic assessments, legal due diligence, and post-close integration support.

Manage External Counsel:

Evaluate external counsels' activities and reliance on their support for specific engagements that cannot be conducted by the Legal Affairs department, and manage budgetary requirements.

YOUR PROFILE

Communication: Internal Contacts:

Frequent contact with personnel within regional and global business units is required to obtain and provide legal information. External Contacts:

Contact with customers, vendors, law firms and others that may have contractual relationships with the Company is necessary. Occasional contact with government officials may be required by this position. Knowledge: Profile:

This position requires strong knowledge of contract law and legal processes, and a minimum of five years of applicable experience as a practicing attorney, with a minimum of 3 years as practicing attorney in Canada. The incumbent must have a JD and be in good standing with the IL state bar, the Ontario bar or another provincial bar. Required skills:

Strong written and oral communication skills are necessary to provide clear communication in complex situations. The individual must be detail-oriented with excellent organizational skills and be able to manage multiple transactions in a fast-paced and fluid environment. The ability to work independently (with minimal direction and supervision) and take initiative are crucial. Management:

This position receives general direction from the Associate General Counsel of North America. This position will manage external counsel, as well as internal contacts to the extent required when collaborating on various projects. Location:

Position must be authorized to work in USA and based in Chicago land area with Canadian law experience. Work Environment:

This position works in an office environment in which surroundings are usually comfortable and pleasant. The usual work hours are 40 hours a week; however, longer hours are often required when working on special projects. Early morning or late evening meetings may be necessary to accommodate global participants. The position can expect light travel to other company locations or to meet with external business partners. Manual dexterity is necessary to operate a computer and the person in this position can expect extended time spent in a sitting position.
