Job Duties: Advise clients on general corporate matters and manage taxation issues related to cross-border and domestic M&A, equity capital markets transactions, reorganizations, joint ventures, restructurings, financing transactions, and international tax planning. Draft partnership and LLC operating agreements focusing on tax implications. Provide support on tax litigation matters, collaborate with litigation teams on tax controversy cases, and assist in structuring settlements tax-efficiently. Requirements: Minimum 7 years of experience as a Tax Attorney at an AmLaw 100 law firm or in-house with a reputable company. Graduated from a top-tier law school or demonstrated an outstanding legal industry reputation. Strong interest in autonomy over practice while collaborating with attorneys across corporate, fintech, real estate, and litigation practices. Desire to work with high-profile clients and leverage the firm's support, network, and brand. Education and Certifications: Juris Doctor (J.D.) degree from an accredited law school. Admission to the State Bar of California (preferred). Skills: Exceptional knowledge of corporate taxation, including transactional tax law and international tax planning. Strong drafting skills for legal documents such as partnership agreements and litigation settlements. Ability to work independently and as part of a collaborative team. Excellent communication and negotiation skills.
