The SVP, General Counsel & Secretary serves as the principal legal advisor to HSM Solutions, overseeing all legal matters, providing strategic guidance, and ensuring compliance with laws and regulations. This role involves managing the legal department, working closely with senior management and the Board of Directors, and protecting the company's interests.

Responsibilities:
- Legal Strategy and Guidance: Develop and implement the companys legal strategy, ensuring alignment with business objectives and risk management.
- Compliance and Governance: Ensure the company complies with all relevant laws, regulations, and ethical standards. Oversee corporate governance and advise the Board of Directors on legal matters.
- Contract Management: Draft, review, and negotiate contracts, agreements, and other legal documents to protect the companys interests.
- Litigation Management: Manage and oversee litigation, disputes, and regulatory investigations, working with external counsel as needed.
- Policy Development: Develop and enforce company policies and procedures to mitigate legal risks and ensure compliance.
- Risk Management: Identify and address potential legal risks to the company, providing proactive solutions and strategies.
- Team Leadership: Lead and mentor the legal team, fostering a culture of excellence, integrity, and continuous improvement.
- Stakeholder Collaboration: Collaborate with senior management, departments, and external stakeholders to provide legal advice and support on various matters.
- Training and Education: Conduct training sessions on legal topics to ensure employees understand legal requirements and company policies.
Qualifications:
- Education: Juris Doctor (JD) degree from an accredited law school.
- Licensure: Licensed to practice law in the relevant jurisdiction.
- Experience: Minimum of 10 years of legal experience, with at least 5 years in a senior legal position, preferably within a corporate environment and with M&A concentration.
- Skills:
- Strong knowledge of corporate law, contract law, employment law, real estate law and regulatory compliance.
- Excellent negotiation, drafting, and analytical skills.
- Strong leadership and team management abilities.
- Ability to provide strategic legal advice and make sound decisions.
- Excellent communication and interpersonal skills.

Work Environment: This role is based out of our Corporate office (Hickory or Huntersville, NC), with some minor travel (<10%) for meetings (including Board meetings), court appearances, and industry conferences.
