Job Description:
The FMR LLC Legal Department is seeking to hire an attorney to join the Asset Management, Portfolio Investments Legal team supporting venture capital and equity capital markets transactions on behalf of Fidelity’s funds and clients. In this role, you will provide all aspects of legal support to equity investments in private companies and to privately-negotiated investments in public companies. You will also provide support for the existing private equity investments held by Fidelity funds through exit. You will work alongside a small legal team of transactional attorneys located in Boston, London, and Hong Kong. You will also work closely with a dynamic, highly-skilled, and collaborative group of investment professionals, and with senior members of the equity trading and middle and back office teams. Expertise We’re Looking For J.D. with 6-10+ years relevant experience as a practicing transactional attorney, including structuring and advising on private and public equity transactions and general knowledge of the equity markets. Significant venture capital, securities, corporate finance, and mergers & acquisitions experience required, including with investments in private companies, PIPEs, and SPACs. Experience working with NVCA model documents and company capitalization tables, primarily for late-stage private companies. Deep knowledge of the Securities Act of 1933 and Securities Exchange Act of 1934 required. Familiarity with the Investment Company Act of 1940 and Investment Advisers Act of 1940 a plus. Strong contract review and negotiation skills required. Law firm or equivalent experience required; prior experience working with an asset management firm is a plus.
