Job Overview: A distinguished law firm in San Francisco is seeking a Private Equity Attorney with 4-5 years of experience in private equity, mergers, and acquisitions. The candidate will play a key role in supporting private equity fund clients and their portfolio companies. This position is ideal for a professional with strong business judgment, who thrives in a collaborative and fast-paced environment and is looking to contribute to complex transactional projects.

Duties:

  1. Lead the drafting and negotiation of purchase and merger agreements.
  2. Draft and review LLC, LP, and other ancillary transaction documents.
  3. Support private equity fund clients and portfolio companies in day-to-day legal matters.
  4. Act as a strategic extension of client business teams.
  5. Collaborate closely with internal and external teams in a dynamic work environment.
  6. Ensure transactions are executed efficiently while maintaining high attention to detail.

Requirements:

  1. 4-5 years of experience in private equity and mergers and acquisitions.
  2. Experience with drafting and negotiating legal agreements such as purchase and merger agreements, LLC, LP agreements, and related documents.
  3. Prior experience in a large law firm environment, particularly with private equity sponsors.
  4. Ability to manage multiple projects and prioritize in a fast-paced, team-oriented environment.
  5. Strong business judgment and strategic thinking skills.

Education:

  1. A Juris Doctor (JD) from an accredited law school with excellent academic credentials.

Certifications:

  1. Active Bar membership in the state of California (or the ability to obtain membership promptly).
