A law firm seeks an experienced Private Equity Associate Attorney with 4-5 years of expertise in private equity and mergers & acquisitions (M&A) law to join its team in the Los Angeles area. The ideal candidate will have strong drafting, analytical, and communication skills, with a proven ability to manage complex transactions and client relationships. This role involves a mix of private equity fund representation, M&A transactions, and supporting portfolio companies. Candidates with strong attention to detail, a proactive mindset, and a collaborative attitude will excel in this dynamic and fast-paced environment. Duties Private Equity & M&A Transactions

Draft, review, and negotiate purchase and merger agreements, LLC and LP agreements, and other related transaction documents. Support private equity sponsors in structuring and executing complex transactions, ensuring compliance with all relevant regulations and laws. Collaborate with clients and internal teams to drive deals forward, including managing the day-to-day requirements of private equity fund clients and portfolio companies.

Client Interaction & Strategic Guidance

Work closely with clients to provide strategic business and legal advice on private equity matters, demonstrating strong judgment and an understanding of business goals. Act as a key advisor, leading client meetings, participating in negotiations, and providing insights to help clients achieve their objectives.

Transactional Support

Manage the drafting of ancillary documents and agreements as part of M&A transactions. Ensure timely and accurate execution of transaction components, coordinating with internal teams and external stakeholders. Take a leadership role within the team, mentoring junior associates, and helping to manage project flow. Participate in a dynamic, collaborative work environment, contributing to team success and ensuring high-quality client service.

Requirements At least 4-5 years of experience in private equity and M&A law. Proven ability to draft, negotiate, and manage complex agreements related to private equity transactions. Experience advising and representing private equity sponsors in fund formation, M&A transactions, and portfolio company matters. Strong business and strategic judgment with the ability to work in a client-facing role and provide practical, business-oriented solutions. Excellent organizational and project management skills, with the ability to handle multiple transactions simultaneously. Strong written and verbal communication skills, with an ability to work well with clients and internal teams. Detail-oriented with exceptional analytical and problem-solving abilities. Prior experience at a large firm or equivalent background working with private equity clients. Education Juris Doctor (JD) from an accredited law school. Certifications Admitted to the California Bar. Skills Strong expertise in private equity and M&A transactions, including the ability to draft, negotiate, and manage agreements. Business-oriented approach to legal practice with a focus on client needs and strategic goals. Excellent drafting and legal writing skills, with an emphasis on accuracy and clarity. Strong interpersonal and communication skills, with the ability to collaborate in a team environment. Proven leadership abilities, including mentoring and guiding junior attorneys.
