Duties and Responsibilities:

Advise clients on a wide range of securities law matters, including debt and equity securities offerings.

Provide guidance on public company reporting obligations, ensuring compliance with SEC rules and regulations (Securities Act of 1933 and Securities Exchange Act of 1934).

Draft, review, and negotiate legal documents, such as registration statements, offering memoranda, and other disclosures related to public securities offerings.

Lead due diligence teams during capital markets transactions, managing specialists to ensure thorough reviews and compliance.

Collaborate with specialists and cross-functional teams in handling complex transactions.

Advise clients on corporate governance practices and SEC compliance, ensuring adherence to legal and regulatory requirements.

Stay informed on current trends and changes in securities regulations and capital markets, providing clients with updated legal advice.

Assist in the preparation and filing of periodic reports, proxy statements, and other required SEC filings.

Manage multiple client matters simultaneously, ensuring timely, high-quality legal service delivery.

Requirements:

2-5 years of relevant experience in corporate law, with a strong focus on securities law and capital markets transactions.

Expertise in public company reporting obligations, SEC compliance, and corporate governance matters.

Experience leading and managing due diligence teams during capital markets transactions.

Proficient in drafting and reviewing legal documents related to public securities offerings and corporate governance.

Ability to work on multiple assignments independently, delivering high-quality work under tight deadlines.

Strong legal writing, research, and analytical skills.

Education and Certifications:

Juris Doctor (JD) degree from an accredited law school.
