Position Summary The Paralegal will provide general corporate and transactional support to attorneys across multiple office locations and will interact with external clients as well as internal support staff.
The Corporate Paralegal position is a nonexempt administrative position that reports to the Office Administrator and assigned attorneys. There are no direct reports to this position. The Paralegal will work a regular full-time schedule of 7.5 hours a day, equivalent to 37.5 hours a week as determined by the Office Administrator/HR and/or the assigned attorneys.
Primary Duties and Responsibilities • Administer and prepare documents to effect entity formations, qualifications, amendments, dissolutions and withdrawals, and liquidations, and to document minutes and consents for shareholder and board meetings. • Assist with the preparation of documents to effect mergers, conversions, reorganizations, share issuances and similar transactions, including stock certificates and powers, subscription/shareholder agreements, resolutions, etc. • Prepare and file applications and renewals for Licenses, assumed names, reinstatements and online annual reports. • Support attorneys on corporate transactions, including public record searches and other due diligence support, coordination of signatures and closing deliverables, assembly of final documents and ensuring post-closing tasks are accomplished.
Qualifications • Five + years of experience as a Paralegal in a law firm or legal department and a paralegal certificate, or the equivalent combination of education and experience. Bachelor's degree preferred. • Experience supporting a corporate practice group is strongly preferred. Current NC Notary Public commission preferred. • Experience preparing and filing documents with Secretaries of State, including UCCs, articles of incorporation and amendments, certificates of qualification, dissolution and withdrawal, and securities filings. • Experience preparing and filing organizational forms with the Internal Revenue Service, including SS-4s, S-Elections, 1023s and 8832s. • Experience assisting with formation of partnerships, limited liability companies and corporations; and with corporate acquisitions, financings and/or other transactions. • Experience submitting requests for apostilles. • Knowledge of Corporate Transparency Act and Beneficial Ownership Information Reports to FinCEN. Assigned FinCEN ID. • Experience with entity management programs and with setup and maintenance of extranet sites. • Exceedingly well organized and detail oriented; critical thinking, proficiency in problem solving, and decision-making ability. • Must effectively prioritize work/projects and execute tasks in a high-pressure environment. Ability to juggle multiple tasks, set priorities and accommodate rush requests. • Superior computer skills, using Microsoft Office Suite and Adobe. • Exceptional interpersonal and customer service skills. • Excellent written and oral communication skills. • Motivated, self-directed individual with ability to anticipate and resolve issues.
