Job Description

We are seeking a skilled and detail-oriented Corporate Paralegal to support our legal team in corporate law matters. The Corporate Paralegal will work closely with attorneys to provide legal and administrative assistance for a variety of corporate transactions and corporate governance tasks. The ideal candidate will have strong organizational skills, experience in corporate law, and the ability to manage multiple projects in a fast-paced environment.

Essential Duties and Responsibilities: Assist attorneys with corporate governance matters, including preparing and maintaining corporate records, organizing board meetings, and drafting corporate resolutions, bylaws, and other governance documents. Draft, review, and assist in the preparation of contracts and legal documents, including shareholder agreements, operating agreements, mergers, acquisitions, and asset purchases. Conduct legal research to support transactional work and due diligence processes. Organize and maintain corporate records and client files. Assist with the filing of documents with state and federal agencies, including SEC filings and business entity formation documents. Coordinate and manage the execution of corporate transactions, ensuring compliance with all relevant regulations. Prepare and manage schedules for corporate meetings, including preparing agendas and taking meeting minutes. Maintain compliance with relevant corporate and securities laws, including keeping track of corporate filings, deadlines, and regulatory requirements. Provide support during mergers and acquisitions, including the preparation of due diligence checklists, reviewing contracts, and managing timelines. Communicate with clients, outside counsel, and government agencies as necessary. Manage and track projects, ensuring that tasks are completed on time and within scope. Qualifications:

Bachelor's degree or paralegal certification is required. Minimum of 3 years of experience as a corporate paralegal, preferably with exposure to mergers and acquisitions, corporate governance, and contract law. Strong understanding of corporate governance principles and procedures. Familiarity with state and federal filing requirements, business formations, and compliance regulations. Excellent verbal and written communication skills. Strong attention to detail with exceptional organizational and time management abilities. Proficiency in Microsoft Office Suite, legal research tools, and document management systems. Ability to work independently and as part of a team in a fast-paced environment. Strong analytical, problem-solving, and multitasking skills. Commitment to maintaining confidentiality and ethical standards.
