Job Description
We are seeking a skilled and experienced
Corporate Paralegal
with at least 3 years of experience to join our legal team in the Kansas City metro area. The ideal candidate will support attorneys in corporate law matters, including mergers & acquisitions, corporate governance, contract management, and compliance. If you have a strong attention to detail, excellent organizational skills, and a passion for corporate law, we encourage you to apply.
Key Responsibilities: Assist with the formation and dissolution of corporations, LLCs, and other business entities. Prepare and file corporate documents, including articles of incorporation, bylaws, operating agreements, and other governance documents. Draft, review, and manage corporate contracts and agreements. Assist in mergers, acquisitions, and other business transactions, including conducting due diligence and preparing closing documents. Maintain corporate records and ensure compliance with applicable laws and regulations. Coordinate and communicate with internal departments, outside counsel, and government agencies. Assist with corporate governance and compliance matters, including maintaining board resolutions and minutes. Handle various administrative tasks related to corporate filings, shareholder communications, and corporate governance. Qualifications:
Minimum of 3 years of experience as a Corporate Paralegal or in a similar legal support role. Knowledge of corporate law, mergers & acquisitions, contract law, and corporate governance. Strong proficiency in legal research, document management, and using legal software (e.g., Westlaw, LexisNexis, etc.). Excellent communication skills, both written and verbal. Ability to work efficiently, manage multiple tasks, and meet deadlines in a fast-paced environment. Strong attention to detail and ability to maintain confidentiality. Paralegal certification (e.g., from NALA or NFPA) is preferred but not required. Preferred Skills:
Experience with legal project management or familiarity with business formation and compliance software. Experience in drafting and negotiating corporate agreements. Knowledge of state and federal filing requirements for corporations. Benefits:
