Corporate Attorney
with 2-4 years of experience in mergers and acquisitions (M&A) to join our dynamic legal team. The ideal candidate will possess strong knowledge of corporate law, transaction structuring, and the negotiation and documentation of M&A deals. This is an excellent opportunity to work with a wide range of clients in diverse industries, while advancing your career in a supportive and collaborative environment. Key Responsibilities:
Assist in all aspects of M&A transactions, including due diligence, deal structuring, negotiation, and documentation of agreements. Provide legal advice to clients on corporate governance, regulatory compliance, and other corporate matters. Draft, review, and negotiate transaction documents, including stock/shareholder agreements, asset purchase agreements, and other relevant documents. Conduct legal research on corporate, securities, and tax matters as related to M&A transactions. Collaborate with other departments to address legal and regulatory issues associated with corporate transactions. Work closely with senior attorneys to develop legal strategies and provide comprehensive client support. Attend and participate in client meetings, deal closings, and corporate negotiations.
Qualifications:
J.D. from an accredited law school and active VA State Bar. 2-4 years of experience in corporate law, with a focus on mergers and acquisitions. Experience with cross-border transactions is a plus. Knowledge of antitrust law or regulatory approvals in M&A is a bonus.
