Corporate / Transactional Paralegal
in its Nashville, TN office. All candidates must have either a bachelor’s degree and/or a paralegal certificate from an ABA approved paralegal program, and five years of prior corporate experience. Responsibilities include: Annual Report filing; Draft, file and manage various business entity documents for corporations, LLCs and partnerships with state agencies; Arrange UCC/litigation/lien searches; Prepare and file UCC documentation; Preparation of stock ledgers and stock certificates; Assist with Form 4 filings; Collect pertinent documentation and arrange information in either internal or external virtual data rooms; Assist with due diligence including preparation of disclosure schedules and electronic closing binders. Knowledge of Corporate Transparency Act and SimplyAgree software is considered a plus. Candidates should possess strong organizational, interpersonal, and communication (oral and written) skills. All applicants should have an aptitude for detail and multi-tasking; the ability to work efficiently, and to work under pressure with or without direct supervision. Each candidate must be able to manage multiple projects simultaneously for different attorneys. Candidates must be flexible, have regular attendance, subject to firm COVID-19 protocol, and be willing to work overtime if necessary. Must provide minimum authorization to work in the United States.
