Miami, FL Salary:
Up to $120,000 per year
Responsibilities:
Form, merge, and dissolve entities.Prepare documents for filing with Departments of State and other jurisdictions; work with outside agents for filing out-of-state documentation; following up on filings.Assist with corporate transactions including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity.Prepare Stock Certificates.Prepare and revise organizational charts.Maintain closing checklists and documents for corporate transactions.Retrieve public records.Prepare and file UCC Financing statements.Perform research of UCC and laws governing business organizations.Perform UCC/lien searches.Coordinate document retrieval from government agencies, review corporate public records, and draft analyses.Maintain corporate minute books.Requirements:
3 to 5 years of corporate and transactional experience.Superior organizational skills and ability to handle a high volume and fast-paced environment.Attention to detail and ability to complete tasks in a timely manner.Initiative and ability to work independently.Motivated individual with a passion for working in the corporate arena.Proficient in Microsoft Office suite.Experience with corporate transactional work, including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity.Benefits:
