We are seeking an experienced and independent Senior Counsel to work hybrid in the Norwood , Massachusetts office to serve as a core team member of the growing legal team.
A Day in the Life:
We are seeking a Senior Legal Counsel, Commercial . This is a new and high visibility executive role reporting to the General Counsel for a worldwide medical device company that is set to more than triple in size with a pending acquisition. This role demands expert and comprehensive legal and strategic advice. You will be responsible for reviewing, drafting and negotiating, and as necessary, executing on all types of corporate agreements. You will also support the business on issues such as disputes, employment law, real property leases, life science regulatory matters and intellectual property, among others. You will be asked to contribute to the company’s Governance, Risk and Compliance activities, which include advising on and participating in Sustainability projects and reporting.
You will work effectively and collegially with internal clients and other members of a small Legal Department as well as counterparties to achieve business-oriented solutions to legal, contractual and business issues. You must take the initiative to help define a newly created position by establishing and refining document templates as well as procedures, processes and best practices. A key component of this role will involve a large, new acquisition, which offers the opportunity to make an immediate and significant impact. This is a supervisory position and will have at least two contracts managers as direct reports.
What we are looking for in you:
- J.D. or LLB or higher legal degree
- Licensed to practice law in Massachusetts or at least one U.S. state
- Demonstrated ability to be an effective leader, teammate and follower in a law firm or in-house environment.
- Ability to operate independently and autonomously in a small but busy legal department and address problems in the face of ambiguity and uncertainty.
- Capable of backfilling the General Counsel during periods when the General Counsel may be unavailable.
- 10+ years of relevant legal experience gained through a combination of law firm and/or in-house experience, preferably with a life sciences organization and with international exposure. We will consider exceptional candidates with less than ten years’ experience.
- Experience and expertise in drafting, reviewing and negotiating corporate agreements in jurisdictions worldwide, such as distribution agreements and terminations, sales and procurement agreements, software licenses, material transfer agreements, collaboration agreements, NDAs, IP licenses, business development agreements and consulting agreements, among others.
- Experience managing outside counsel and resolving and managing disputes is strongly desired.
- Experience and expertise in matters involving labor and employment, real estate, life science regulatory, intellectual property and M&A due diligence is strongly desired.
- Able to work autonomously with little or no supervision
- Possess a valid driver’s license and ability to periodically travel domestically and internationally, possibly on short notice.
- Proficient with relevant IT tools for modern in-house legal practice.
