About the Role
As a Corporate Paralegal, you will play a vital role in supporting corporate transactions by drafting and managing legal documents, conducting due diligence, coordinating regulatory filings, and facilitating transaction closings. This position offers a unique opportunity to work with cutting-edge AI tools and collaborate with legal professionals on high-impact corporate matters.
Key Responsibilities
- Assist with corporate due diligence, including maintaining checklists and conducting UCC, tax lien, judgment, litigation, and bankruptcy searches.
- Utilize AI tools such as KIRA and Harvey to analyze corporate documents and create diligence matrices.
- Prepare initial drafts of organizational documents and corporate filings.
- Manage corporate records, including stock certificates, ledgers, and capitalization tables.
- Facilitate multi-jurisdictional registrations, name reservations, amendments, mergers, and dissolutions.
- Support transaction closings by preparing signature packets and assembling client-facing closing binders.
- Track and manage post-closing obligations, including escrow releases and collateral requirements.
- Prepare and file SEC Form D, UCC financing statements, and other regulatory filings.
- Handle electronic document execution via DocuSign and organize executed agreements.
- Assist with IRS SS-4 EIN applications and SEC EDGAR filing code generation.

Experience & Education
- Bachelor’s Degree required .
- 5+ years of relevant corporate paralegal experience preferred .
- Paralegal certificate from an ABA-approved program preferred .
- Notary certification is a plus .
