Our proprietary memory B cell hybridoma technology allows for the rapid screening and functional characterization of novel antibodies and targets.Position OverviewAs Immunome’s Contracts Attorney, you will report directly to the Chief Legal Officer and will be an integral part of our Legal team, leading contract negotiations and management of our contracts portfolio. This role is designed for someone who has a strong background in authoring, reviewing, and negotiating contracts in the biotechnology field with a focus on vendor agreements. The ideal candidate is also goal-oriented, solutions driven and collaborative. The candidate must also have excellent organizational skills and have experience with implementing and maintaining contract management systems and developing contract templates for the Company’s business needs. The Contracts Attorney will play a crucial role in ensuring the organization's legal interests are protected while facilitating effective business operations through comprehensive contract management.ResponsibilitiesContract Drafting and AuthoringDraft, review, and negotiate a variety of contracts, with a primary emphasis on master and project-specific vendor agreements.Create clear and concise contract terms, minimizing risks and maximizing favorable outcomes for the organization.Contract Review and AnalysisExercise independent judgement, while conducting thorough reviews of existing contracts to identify potential legal issues, risks, and obligations while balancing business needs.Collaborate with internal stakeholders to analyze and assess the legal implications of contract terms and conditions.Contract ManagementManage the end-to-end lifecycle of contracts, including drafting, negotiation, execution, and ongoing compliance.Develop and maintain strong relationships with vendors and internal teams to facilitate effective communication and dispute resolution.Implement and maintain an effective contract management system.Develop template agreements.Legal AdvisoryProvide legal guidance, solutions, and expertise to internal teams on contract-related matters, ensuring compliance with applicable laws and regulations.Advise the organization on legal issues concerning intellectual property, indemnification, confidentiality, data privacy, and other substantive legal matters impacting contract negotiations.Contracts ComplianceMonitor and enforce contractual obligations to ensure compliance with terms and conditions.Collaborate with relevant departments to implement processes that support contract compliance and risk mitigation.RequirementsMinimum of 5 years of experience as a commercial contracts’ attorney in the biotechnology/medical technologies field.AmLaw 100 law firm experience preferred.JD from an accredited institution with active bar membership, preferably Pennsylvania.In-depth knowledge of contracts law, commercial transactions, and relevant regulatory frameworks.Strong analytical skills and attention to detail and demonstrated ability to understand complex legal concepts.Strong negotiation and communication skills.Solutions-driven, collaborative, and comfortable in a fast-paced environment.Strong teamwork and client service skills.E/E/OImmunome, Inc. is an equal opportunity employer.
