Corporate Counsel

Voltage Park is building a machine learning cloud infrastructure business from the ground up. As part of this effort, we’re looking for Corporate Counsel, who will be responsible for managing the company’s legal affairs with a focus on commercial contracts. You will work cross-functionally throughout the company to manage legal risk, negotiate contracts, and ensure compliance. As an early hire, you’ll also have significant influence in defining our company culture and ensuring our success.

This is a fully remote role, but you must be located in the United States. We are not able to provide sponsorship for this position.

What You’ll Do

1. Draft, review, revise and negotiate a wide variety of commercial agreements with customers and vendors, including MSAs, SOWs, real estate, and license agreements.
2. Establish processes and select tools to support our scaling organization, including workflows, template development and document management.
3. Manage company risk from a business perspective.
4. Support compliance and corporate governance efforts, including legal entity filings and state-by-state tax compliance.
5. Work on various other matters affecting the business as time permits, including providing support on employment law, equity agreements, regulatory matters, intellectual property, insurance, and issues arising in day-to-day operations, working with outside counsel as needed.

Requirements

1. A J.D. degree and license to practice law.
2. 4+ years of relevant legal experience, ideally somebody who has transitioned from a top law firm to a tech company.
3. Experience negotiating complex commercial agreements such as orders/services agreements, partnership agreements, publisher agreements, affiliate agreements, data agreements, or licensing agreements.
4. Experience working with top-tier third-party lawyers.
5. Experience managing risk for a company while remaining business-minded.
6. Experience establishing workflow and document management processes.
7. The ability to give practical legal advice in a fast-paced, startup environment.
8. Extremely detail-oriented – you sweat the small stuff.
9. An appetite for learning about data centers, equipment, and everything that goes into their set-up.
10. Low ego: we’re a small group, and need somebody for whom no task is too small.
11. You’re a problem solver with a “get sh*t done no matter what” attitude.
12. Resourceful: you can figure out solutions – even and especially in highly ambiguous environments.

This is a full-time position, and the base salary range will be $150,000 - 200,000 annually. You will also be eligible for an equity package and our benefits, which include a 6 percent 401k match and 100 percent of your insurance premiums covered by Voltage Park. This base pay range is for the U.S, and will be dependent on interviews, experience, education, and alignment with the market. It is subject to change and may be modified in the future.
