Kelley Drye & Warren LLP’s Corporate practice group is seeking a senior-level Corporate Associate. Candidates must have at least 5 years of experience with a solid foundation in M&A, securities matters and/or lending work, who enjoy the variety and diversity of a broad-based general corporate practice. Our lawyers handle deals of all sizes and complexities. But our sweet spot is serving as a strategic partner and adviser to middle-market companies, both public and private, in the United States and around the world.Responsibilities
Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and other related mattersDraft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreementsConduct due diligence investigations and prepare comprehensive reports for clientsManage and oversee junior associates and paralegals on various transactionsCollaborate with cross-functional teams to ensure seamless execution of dealsStay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clientsRepresent clients in negotiations, mediations, and other dispute resolution processes, when necessaryPublic securities and stock exchange compliance including 34 Act, and 33 Act a plusRequirements
Juris Doctor (J.D.) degree from an accredited law schoolMinimum of five years of law firm experience in general mergers and acquisitions mattersStrong knowledge of corporate law, securities regulations, and corporate governance principlesExcellent drafting and negotiation skills, with a keen attention to detailProven ability to manage multiple complex projects simultaneouslyExceptional analytical and problem-solving abilitiesExcellent interpersonal and communication skills, both written and verbalAbility to work independently and collaboratively in a fast-paced and demanding environmentWe work seamlessly across office lines and are open to considering experienced candidates in any Kelley Drye office but have a strong preference for the candidate to be based in Chicago, IL.
