VIAVI Solutions Inc. is looking for an experienced Corporate Counsel to join our Corporate Legal, Securities and Compliance Team. This position will be a corporate generalist role, reporting to the VP and Deputy GC, Corporate Legal on a team of approximately five professionals collectively responsible for securities, corporate governance, non-disclosure agreements, data privacy, compliance, M&A, ESG, corporate finance and subsidiary management. This attorney will assist on a broad range of corporate legal matters, including Non-Disclosure Agreements, SEC filings, ESG programs, data privacy and compliance initiatives.
Duties & Responsibilities:

Non-Disclosure AgreementsReview of incoming customer agreements in a timely manner while following company policies and practices.Conduct contract negotiations with both internal and external customers.Provide timely feedback to both internal and external customers on the status of agreements.Track and upload all executed agreements into the contract repository (NDA Central).Update and maintenance of Non-Disclosure Policy.Securities & Corporate GovernanceAssist VP Corporate Legal in the preparation and review of SEC filings, annual, quarterly and periodic reports, conflict minerals report, proxy and registration statements, including benchmarking of disclosure best-practices and keeping current with ongoing regulatory developments and new disclosure requirements.Advise equity administration on securities compliance, Form 4 filings and other matters.Support corporate governance matters, including preparation of the annual stockholder meeting and maintenance of, review and periodic updates to our organizational documents, code of business conduct, corporate governance guidelines and board and committee chartersESGAssist with ESG program initiatives by participating on the ESG Steering Committee and working cross-collaboratively with other key functions (IR, HR, Finance, EHS, Facilities) to help develop, implement and report out ESG goal and metrics.Help to establish an ESG platform for the collection and verification of ESG data.Regulatory & Compliance ProgramsAssist with monitoring and analyzing new regulatory and legal compliance requirements, including estimating impact and recommending and assisting with the implementation of plans to meet applicable requirements.Assist with developing and administering our global compliance programs, including updating and implementing policies, procedures and trainings related to code of business conduct, anti-corruption, conflicts of interest, securities trading and antitrustSupport and advise on data privacy initiatives and compliance practices.Other ResponsibilitiesSupport M&A, capital markets, corporate finance and other strategic transactions as needed.

3+ years of corporate legal and compliance experience, including at a large law firmIn-house legal compliance experience at a U.S. public company is a plusCurrent bar membership in at least one U.S. state and qualified to practice in-house in California or Arizona is requiredJ.D. from a nationally recognized law school is requiredHigh degree of integrity and ability to instill trustA goal-oriented team player with strong judgement and excellent interpersonal and communication skills, including the ability to explain complex legal issues to non-lawyersProven ability to drive change and produce high-quality work product in a fast-paced, cross-functional environmentAdaptability, comfort with uncertainty and continuous change and an openness toward cross-functional developmentThis position will be a hybrid work environment, based in California or Arizona with ability to travel occasionally to San Jose or Chandler.
