Job Overview:The Corporate Attorney will assist members in representing clients in general corporate matters, including drafting and negotiating purchase agreements, advising on securities law compliance, negotiating investment transactions, and drafting core company governance documents. This role requires effective communication skills, a dedication to client service, and a willingness to stay informed about developments in corporate law. Duties:Draft and negotiate purchase agreements and related documentsAdvise clients on securities law compliance mattersNegotiate investment transactions on behalf of companies and investorsDraft core company governance documents related to client operations and material transactionsCommunicate in a highly responsive manner and deliver high-quality work productEffectively communicate with all levels of the firm and with firm clientsDevelop and nurture strong client relationships at all levels of client organizationsStay informed about cutting-edge developments in relevant areas of law Requirements:3-6 years of experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firmJ.D. degree from an ABA-accredited institutionLicensed attorney in good standing in Illinois, Michigan, California, or Texas; remote work candidates are also welcomeAbility to manage multiple tasks and meet deadlines under significant time constraintsWillingness to assist with training junior associates and support staff Education:Juris doctorate from an ABA-accredited institution Certifications:Licensed attorney in Illinois, Michigan, California, or Texas Skills:Broad transactional experience, including mergers, acquisitions, securities law matters, entity formations, and financing transactionsStrong negotiation and drafting skillsExcellent communication skills, both written and verbalClient-focused approach to legal practiceAbility to work collaboratively within a team environment Assisting most successful companies and individuals on a broad range of issues, this nationally recognized firm is committed to exceptional and efficient client service and an enjoyable work environment based on collaboration, respect, and diversity.
