About the RoleThe General Counsel provides legal advice and strategies to WHYY’s executive team and staff. In addition to providing legal advice, the General Counsel reviews and writes various internal legal contracts, negotiates and manages client and vendor contracts and ensures legal compliance with laws and regulations. The position also acts as Assistant Secretary to the Board of Directors.MAJOR DUTIES AND RESPONSIBILITIESLegal advice:

Provide legal counsel to WHYY’s executives and management on various legal issues affecting WHYY.Contract negotiation:

Oversee the drafting, review, and negotiation of contracts and agreements entered into by WHYY, including collective bargaining agreements.Compliance:

Ensure that WHYY complies with relevant laws and regulations in its operations and business activities.Risk management:

Identify and manage legal risks that WHYY may face, and implement strategies to mitigate those risks.Litigation management:

Oversee legal disputes and coordinate with external law firms when necessary to handle litigation matters.Corporate governance:

Advise on matters related to corporate governance and ensure compliance with applicable laws and regulations. Act as Assistant Secretary to the Board and provide staff support to the Board and the Executive and Governance Committees.Intellectual Property:

Manage and protect the company's intellectual property, such as trademarks, patents, and copyrights.Employee Relations:

Provide legal guidance on employment-related matters, including contracts, policies, and disputes.Maintain a regular and predictable attendance.Perform other related duties as assigned.Qualifications

Education:

Law degree is required as well as a law license.Experience:

Experience in drafting and reviewing legal agreements is required. Familiarity with labor law and public media law preferred. Experience working in a General Counsel’s office is preferred.License or Certification:

Law license is required.*All WHYY employees are required to receive the COVID-19 vaccination. Proof will be required upon hiring.
