Assistant General Counsel, Corporate & Securities

This role is based out of Provo, Utah.About the Role:The Assistant General Counsel’s primary areas of focus are M&A transactions, federal securities, and corporate governance. The Assistant General Counsel reports to the Senior Corporate Counsel/Corporate Secretary, who reports directly to the General Counsel.What you'll do:Provide support for M&A transactions, including working with members of the Business Development group on deal structure, due diligence, drafting and negotiating agreements, and managing deal process and execution.Assist with the preparation of SEC reports, including Forms 10-K, 10-Q, 8-K, and SD, proxy statements, and Section 16 reports.Assist with corporate governance matters, including supporting management and the Corporate Secretary in preparing for Board and committee meetings, researching and advising on corporate governance best practices, and monitoring compliance with SEC rules and NYSE listing standards.Assist with other matters as needed.Provide timely and practical legal advice to the company’s business leaders, including proactively identifying key issues and providing advice and counsel to the company’s senior leaders.Develop and maintain strong partnerships with management and other internal stakeholders to influence decision making and achieve successful business outcomes.What you'll need:Law degree from an accredited law school in the United StatesMinimum of four years experience advising on M&A issues with a reputable law firmWillingness to learn and assist with other areas as needed, such as federal securities, contracts, entity management, and/or corporate governanceStrong work ethic and high ethical standardsStrong written and verbal communication skills, including the ability to present complex issues in a clear and concise mannerAbility to identify key legal risks and structure business solutions to address those legal risksOur Commitment:We are committed to seeking, developing, and empowering diverse individuals and perspectives.
