Our team is committed to excellence, innovation, and client satisfaction. We are currently seeking a highly qualified and experienced Transactional Attorney to join our dynamic team.Job Summary:
The ideal candidate will be a skilled transactional attorney with a minimum of 3 years of relevant experience in real estate and business transactions. The candidate must be licensed to practice law in Texas and possess a strong understanding of Texas laws and regulations.Key Responsibilities:
Real Estate Transactions:
Represent buyers, sellers, and lenders in real estate transactions.Structure deals and provide strategic advice on complex transactions.Handle syndications and fund creation.Advise on alternative financing options.
Business Transactions:
Assist with corporate structuring and governance.Ensure compliance with regulatory and administrative requirements.Manage mergers and acquisitions.Provide counsel on Reg A+, 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.Facilitate entity formation.Review, create, and negotiate contracts.
Qualifications:
Juris Doctor (JD) degree from an accredited law school.Active license to practice law in Texas.Minimum of 3 years of relevant experience in real estate and business transactions.Proven experience in deal structuring, syndications, and fund creation.Strong knowledge of corporate structuring, governance, and compliance.Familiarity with mergers and acquisitions, Reg A+, 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.Excellent contract review, creation, and negotiation skills.Strong analytical and problem-solving abilities.Exceptional interpersonal and communication skills.Ability to work independently and as part of a team.High level of professionalism and integrity.Preferred Skills:
Experience with alternative financing.Knowledge of Texas-specific real estate and business laws.Benefits:
