IntraHealth group is seeking a general counsel to provide support as a high-level legal specialist in healthcare law primarily in the areas of regulatory law and business and professional contracting with an emphasis on business law, antitrust, physician contracting, employment law, and regulated transactions.Additional responsibilities may include, but are not limited to, information technology, clinical, medical malpractice, intellectual property, credentialing, and real estate transactions. The General Counsel will be responsible for leading corporate strategic and tactical legal initiatives, will provide senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions in negotiating critical contracts.Responsibilities include:Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.Serves as key legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations.Structures and manages the company’s internal legal function and staff.Oversees the selection, retention, management and evaluation of all outside counsel.Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.RequirementsJuris Doctor Degree with experience in health care law and business.Member in good standing of the Georgia State Bar or eligible to obtain.Five (5) years experience practicing law, with minimum two (2) years in healthcare with significant experience counseling executive management regarding business law and regulated transactions.Experience working on matters of corporate governance and with a board of directors.Familiarity with information technology, clinical procedures, medical malpractice, intellectual property, credentialing, and real estate transactions is helpful.Superior people management skills.Strong written and oral interpersonal and communication skills.Ability to focus on business goals and facilitate lawful resolutions and solutions to business issues.
