This includes corporate legal work relating to management company operations and capital formation efforts. Responsibilities will include partnering with internal stakeholders and external counsel to lead and advise on a variety of corporate / management company matters as well as the launch and management of the firm’s offerings.Collaborate with senior internal team members to achieve the firm’s business objectives.Strategize with internal stakeholders on legal issues impacting the firm’s platform including transaction-related legal work, fiduciary and conflict matters and other regulatory issues.Work for a global organization that prides itself on integrity and professionalism.Summary of Responsibilities:Report to the Chief Counsel – Global Funds who is a senior member of the legal team with responsibility for a wide-range of legal matters, including management company and corporate matters, counterparty arrangements, and capital formation.Partner with internal stakeholders to structure Värde’s private funds, separately managed accounts, joint ventures and co-investments and to strategize efficient ways of raising capital.Assist senior members of the firm in connection with investment transactions.Provide legal advice and support to the firm’s compliance team on regulatory matters.Actively consult and coordinate with the firm’s business leaders.Anticipate and guard against legal risks affecting Värde’s business .Analyze legal issues for their impact on capital raising activities and strategies.Maintain strong knowledge of legal and regulatory requirements and new regulations related to SEC registered investment advisers.Qualifications:J.D. from an accredited law school with three to five years of experience in-house or at a law firm.Strong knowledge of corporate, securities, and contract law. Experience with the Investment Advisers Act of 1940 strongly preferred. Knowledge of tax law is a plus. Willing to consider candidate with backgrounds in other corporate practice areas with experience from a nationally ranked law firm.Experience advising alternative investment managers and related regulatory compliance issues.Member in good standing of a state bar.Ability to meet the restrictions of SEC rule 206(4)-5 (“Pay-to-Play”).A passion for the alternatives industry and corporate / securities law.Demonstrated ability to provide business-minded, practical legal advice in nuanced circumstances.Ability to effectively manage internal client expectations and numerous competing demands and effectively coordinate and oversee external counsel.Strong communication, collaboration, problem-solving and strategic thinking skills.Personal characteristics of self-confidence, resourcefulness and adaptability, initiative, detail orientation, self-motivation, discipline, willingness to assume responsibility for decisions and the ability to deal effectively with people in a variety of situations.
