Hybrid - home and Boston officeJob OverviewThe Deputy General Counsel is a key member of MassCEC’s Legal team within the Corporate Department. The Deputy General Counsel will report to the General Counsel and will serve as the principal support for the General Counsel in administering and managing all matters under the purview of the Legal team. The Deputy General Counsel is responsible for managing and overseeing the day-to-day handling of matters handled by the Legal team, including providing advice on a full range of matters related to the activities of MassCEC and its employees, as needed, and drafting, reviewing, and negotiating both contracts and corporate transactions. The Deputy General Counsel will also be responsible for directly managing other attorneys on the Legal team. The ideal candidate will be able to draw upon corporate, transactional and/or governmental law experience dealing with a broad range of subject matter. The successful candidate must also be skilled at providing practical and sound legal and business counsel to members of the senior leadership team.Job DutiesAdvise the CEO and other senior management on aspects of corporate governance and compliance, including statutory requirements, organizational documents, ethics, open meeting law, employment and HR matters, and other policies and procedures, as needed and/or directed by the General Counsel;Oversee Legal staff drafting and review of service and vendor contracts, as well as grants, loans and equity investment agreements entered into by MassCEC and perform the same directly, as needed;Oversee Legal staff reviewing and assisting in developing programs and program documents, including solicitations, RFPs, and award agreements and perform the same directly, as needed;Perform legal due diligence for equity and debt investments, as necessary;Negotiate, document and administer real estate-related and operational agreements for all MassCEC facilities;Assist with public law matters, including open meeting law, conflict of interest law, public records law, and federal and state energy laws and regulations;Assist with matters relating to the administration and conduct of Board and Board Committee meetings;Assist with day-to-day legal needs for the Legal, Human Resources, Operations, and Finance Departments;Assist with liaising with federal, state, and local agencies as needed and/or directed by the General Counsel;Support the General Counsel with regard to energy-related legislative, policy, and legal matters;Manage outside counsel, as needed and/or directed by the General Counsel;Serve on MassCEC Committees as directed by the General Counsel, including the DEI Internal Committee;Oversee and manage Legal team staff, including attorneys and fellows; andOther tasks as directed by the General Counsel.Position QualificationsEducation:

J.D. from a law school accredited by the American Bar Association, and an active member in good standing with the Massachusetts Bar.Experience:

7 or more years of corporate transactional and/or governmental law practice experience, or similar practice area; Experience managing other attorneys; Significant experience drafting, reviewing and negotiating contracts; Significant experience working on investment matters; Experience working with government clients and/or on public law matters; Experience working on and/or managing a broad range of other matters desirable; and Experience working with federal funding opportunities and applicable contracting and compliance requirements desirable.Knowledge, Skills and Abilities:

Demonstrated ability to work directly with and serve as a trusted counsel to senior leadership; Demonstrated ability to obtain and review complex information and clearly articulate conclusions and associated recommendations and rationale; Well-organized and detail-oriented with an outstanding work ethic; should be able to independently manage and successfully prioritize numerous projects under deadline pressure; Ability to work collaboratively as an effective member of multi-disciplinary project and investments teams; Strong problem-solving skills and ability develop creative, practical solutions to achieve business goals while mitigating risks appropriately; Proactive, client focused mindset; Interest in clean energy technology and a demonstrated aptitude to understand complex and new technologies, systems, innovations and business concepts as well as market opportunities and challenges; Ability to and preference for working in a fast-paced, leanly staffed, entrepreneurial environment; Ability to manage and motivate other attorneys and staff and to work collaboratively with all members of the Legal team; and Excellent oral and written communication skills.About the Massachusetts Clean Energy CenterThe Massachusetts Clean Energy Center (MassCEC), as a quasi-public entity, plays a critical role in fostering the success of our state’s clean energy sector.
