Under direction of the General Counsel and the supervising attorney, the Corporate Counsel is responsible for negotiating, drafting, revising and maintaining contracts for the company and its affiliates.

This role will be exposed to a variety of in-house legal responsibilities including compliance, real estate, employment, intellectual property, corporate governance and corporate transactions. This role will also assist and advise the General Counsel on complex commercial matters and work with business leaders to resolve a broad range of legal issues within the company and its affiliates.

What you'll do:

Create, review and negotiate complex contracts and service agreements, including vendor contracts, financing, partnership agreements, SaaS agreements and non-disclosure agreements, assigned through the legal ticketing system.Ensure contracts and legal documents are centrally maintained and revised as needed.Provide legal counsel to leaders on assigned areas of business.Serve as key business partner while mitigating risk and insulating the company from liability and reducing outside counsel legal costs.Partner with company divisions and functions to provide business and practical advice so that objectives can be met.Assist with the preparation of entity documentation, including operating agreements, partnership agreements, and general corporate entity management.Partner with Human Resources and outside counsel on employment-related matters.Support other members of the legal department and business teams with new and ongoing litigation matters in partnership with outside counsel.Ensure the company’s policies and strategies are in compliance with industry and governmental regulations.What we need from you:

Juris Doctorate from an accredited law school.5+ years of combined, relevant experience as an in-house counsel or a combination of in-house and private practice, with an expertise in contract law and corporate/business entity laws.Experience drafting and negotiating various service agreements, technology agreements, confidentiality agreements and complex contracts.Excellent presentation, verbal and written communication skills.Strong contract review, negotiation, analytical, and creative skills.Strong ability to multi-task, prioritize and complete numerous projects simultaneously.Ability to collaborate and effectively interface with employees at all levels of the organization.Comfortable maneuvering through complex policy, process, and people-related organizational dynamics.Strong ability to organize complex and high quantity information to effectively solve problems.Consistently models high standards of honesty and integrity.Plans and prioritizes work to meet commitments aligned with organizational goals.Proficient with Google software applications.Ability to think strategically and compare alternative courses of action to make sound decisions and give business and legal advice in a compressed time frame often with limited information.How to stand out (Preferred):

Experience negotiating and drafting SaaS agreements.Experience with products and external sales representatives.Employment law experience.Commercial litigation experience.Additional Information:
