A law firm is seeking a dedicated and skilled Mid/Senior-Level Public Mergers and Acquisitions Associate Attorney to join their team in Santa Monica, CA. The ideal candidate will have 3-6 years of experience in mergers and acquisitions and transactional law, specifically focusing on public company transactions. This position requires high expertise in related securities laws, outstanding academic credentials, and excellent communication skills.Job Responsibilities:

Handle mergers and acquisitions transactions involving public companies on the sell and buy sides.Advise clients on related securities laws and compliance.Draft, review, and negotiate transaction documents, including merger agreements, stock purchase agreements, and other related documentation.Conduct due diligence investigations and prepare related reports.Collaborate with other attorneys, legal staff, and clients to develop and implement transaction strategies.Provide legal counsel on corporate governance and regulatory matters related to mergers and acquisitions.Assist clients in navigating public company transactions' legal and regulatory landscape.Stay current with mergers and acquisitions law developments and related securities regulations.Participate in business development activities, including client meetings and networking events.Requirements:

3-6 years of experience in mergers and acquisitions and transactional law.Specific experience with transactions involving public companies on both the sell-side and buy-side.Proficiency in related securities laws and regulations.Proven track record of handling complex transactions from inception to completion.Relevant California Bar admission or eligibility to obtain admission promptly.Education:

Juris Doctor (JD) degree from an accredited law school.Outstanding academic credentials.Certifications:

Active membership in the California Bar or eligibility for prompt admission.Skills:
