If so, this opportunity may be the right fit for you!This position is responsible for providing strategic legal counsel, managing corporate governance functions, and supporting board operations.Legal Counsel Responsibilities:

Advises senior management and stakeholders on complex legal matters, including corporate governance, regulatory and reporting compliance, particularly related to securities and healthcare, contracts, and governance investigations and litigation within the healthcare industry.Drafts, reviews, and negotiates a wide array of contracts, such as vendor agreements, partnerships, and mergers and acquisitions, ensuring alignment with business objectives and regulatory requirements.Conducts thorough legal research and analysis to stay abreast of evolving healthcare and securities laws, regulations, and industry trends, providing proactive guidance and risk mitigation strategies.Develops and implements corporate policies and procedures to uphold legal standards and mitigate risks across the organization.Collaborates closely with cross-functional teams, including but not limited to Finance, Operations, Commercial, and People and Culture, to support corporate initiatives and strategic transactions.Assistant Corporate Secretary Responsibilities:

Assists in the preparation, organization, and facilitation of board and committee meetings, including drafting agendas, resolutions, and accurate meeting minutes.Maintains and manages corporate records, governance documents, and filings, ensuring compliance with corporate governance policies, legal requirements, and SEC regulations.Coordinates communication and serves as a liaison between senior management, board members, external advisors, and legal counsel.Supports the execution of corporate transactions, governance-related initiatives, and regulatory filings.Stays informed about changes in corporate governance regulations, industry best practices, and SEC reporting requirements.May lead projects and perform other duties as assigned.Qualifications:

Juris Doctorate Degree required.Seven (7) plus years of combined experience practicing law, with significant exposure to corporate governance, and regulatory compliance, particularly securities and healthcare laws.Experience in a legal role within a publicly traded company or the healthcare industry required.Active license to practice law in the jurisdictions the organization operates.Or equivalent combination of education and/or experience.Familiarity with SEC reporting requirements, corporate governance principles, and board management systems.Demonstrated leadership capabilities and the ability to provide strategic counsel to senior management and board members.Strong understanding of state and federal healthcare regulations, including HIPAA, Stark Law, Corporate Practice of Medicine, and Anti-Kickback Statute.Ability to manage complex legal matters independently and collaboratively in a fast-paced environment.Excellent communication, interpersonal, and analytical skills, with a keen attention to detail.Salary: $159,900.00 - 215,900.00We value our team members and realize the importance of benefits for you and your family.
