A background in biological sciences, chemistry, engineering, pharmacy, or business is highly desirable.Key Duties and Responsibilities:Interact directly with clients and handle a variety of dynamic technology transactions.Provide legal counsel and support on complex transactions and licensing matters within the life sciences sector.Draft, review, and negotiate agreements, including complex partnering and licensing arrangements, research and development agreements, manufacturing, supply, and distribution agreements.Manage agreements with academic and research institutions, clinical trial arrangements, material transfer agreements, and non-disclosure agreements.Oversee and support mergers, acquisitions, divestitures, spin-outs, and joint ventures involving life sciences companies.Collaborate with internal teams and clients to structure and negotiate strategic transactions effectively.Stay updated on industry trends, regulatory changes, and technological advancements relevant to life sciences.Demonstrate a commitment to growing into a role leading complex strategic transactions for clients.Requirements:Juris Doctor (JD) degree from an accredited law school.Admission to practice in the state of Utah.6+ years of experience in transactional and licensing matters, with a preference for life sciences expertise.Demonstrated interest and background in the life sciences sector.Experience with a range of transaction types, including partnering, licensing, R&D, manufacturing, clinical trials, and M&A.Strong client interaction skills and the ability to lead in structuring and negotiating complex transactions.Skills:Excellent verbal and written communication skills.Superior interpersonal skills with the ability to build and maintain strong client relationships.Strong analytical, negotiation, and organizational abilities.Ability to manage multiple transactions and deadlines effectively.In-depth understanding of the life sciences industry.Background in biological sciences, chemistry, engineering, pharmacy, or business is advantageous.
