A background in biological sciences, chemistry, engineering, pharmacy, or business is highly desirable.Key Duties and Responsibilities:Engage with clients on a variety of technology transactions and licensing matters within the life sciences sector.Draft, review, and negotiate complex partnering and licensing arrangements, including agreements with academic or research institutions.Manage and structure research and development agreements, manufacturing, supply, and distribution agreements.Oversee clinical trial arrangements, material transfer agreements, and non-disclosure agreements.Handle mergers, acquisitions, divestitures, spin-outs, and joint venture transactions involving life sciences companies.Collaborate closely with other attorneys firmwide to address dynamic and complex legal issues.Provide strategic legal counsel and support to clients, including day-to-day matters and complex transactions.Stay informed on industry trends, regulatory changes, and technological advancements in life sciences.Requirements:Juris Doctor (JD) degree from an accredited law school.Admission to practice in the state of California.6+ years of experience in transactional and licensing matters, with a strong focus on the life sciences sector.Proven experience with complex partnering and licensing arrangements, R&D agreements, and M&A transactions.Demonstrated interest and background in biotechnology, pharmaceuticals, digital health, or related fields.Strong client interaction skills and the ability to manage significant client relationships.Skills:Excellent verbal and written communication skills.Superior interpersonal skills with the ability to build and maintain strong client relationships.Strong analytical, negotiation, and organizational abilities.Ability to manage multiple transactions and deadlines effectively.Background in biological sciences, chemistry, engineering, pharmacy, or business is advantageous.Ability to work independently as well as part of a collaborative team.
