The Corporate Executive Compensation/Benefits Associate Attorney will provide legal support and guidance on executive compensation and benefits matters, particularly within the context of Private Equity and M&A transactions. They will work closely with partners and clients to analyze, structure, and negotiate executive compensation arrangements, ensuring compliance with applicable laws and regulations.Duties:Conduct legal research and analysis on executive compensation and benefits issues.Draft and review executive compensation agreements, including employment contracts, equity-based awards, and incentive plans.Assist in due diligence reviews related to executive compensation matters in M&A transactions.Advise clients on compliance with tax, securities, and regulatory requirements regarding executive compensation and benefits.Collaborate with other attorneys and professionals on complex executive compensation matters.Stay updated on developments in executive compensation law and industry trends.Requirements:2-4 years of executive compensation experience focusing on Private Equity and Mergers & Acquisitions.Strong interest in work related to the executive compensation/benefits components of Private Equity/M&A deals.Strong academic background, preferably with a Juris Doctor (J.D.) degree.Admission to the Massachusetts Bar.Excellent analytical and writing skills.Ability to work collaboratively in a fast-paced legal environment.Education:Juris Doctor (J.D.) degree from an accredited law school.Certifications:Admission to the Massachusetts Bar.Skills:Proficiency in legal research and analysis.Strong drafting and negotiation skills.Knowledge of tax, securities, and regulatory requirements related to executive compensation.Ability to communicate effectively with clients and colleagues.Detail-oriented with strong organizational skills.
