A law firm in Boston is seeking a motivated Junior Corporate Associate Attorney with 2-3 years of experience. The ideal candidate will have a background in start-ups, emerging growth companies, venture capital financings, private equity, and possibly mergers & acquisitions. This role offers significant client interaction opportunities, requiring comfort in communicating with CEOs, Boards of Directors, and venture fund general partners.Duties and Responsibilities:Provide legal counsel and support to clients on corporate matters including entity formation, governance, and financing transactions.Draft and negotiate agreements related to seed and venture capital financings, private equity investments, and mergers & acquisitions.Conduct due diligence reviews and analysis in connection with transactions.Assist with corporate filings and compliance matters.Manage and coordinate legal projects and transactions under the supervision of senior attorneys.Maintain communication and collaboration with clients to understand and address their legal needs effectively.Research and analyze complex legal issues and provide clear recommendations to clients.Requirements:JD from an accredited law school.Admission to the Massachusetts Bar (or ability to waive in).2-3 years of experience in corporate law, with a focus on start-ups, venture capital, and/or private equity transactions.Previous experience at a large law firm preferred.Strong understanding of corporate governance, financing structures, and transactional processes.Excellent written and oral communication skills, with the ability to interact professionally with clients and colleagues.Detail-oriented with strong analytical and problem-solving skills.Education and Certifications:JD from an accredited law school.Admission to the Massachusetts Bar (or ability to waive in).Skills:Experience with start-ups, emerging growth companies, venture capital financings, and/or private equity transactions.Strong drafting and negotiation skills.Ability to manage multiple priorities and deadlines effectively.Proficiency in legal research and analysis.Benefits:
