Job Overview: A law firm in Baltimore, MD, is seeking a skilled Mergers and Acquisitions Attorney with at least 9 years of experience to join their team. The ideal candidate must possess significant general corporate expertise and be capable of independently managing M&A deals. Preference will be given to candidates with experience in private companies and/or private equity matters. Exceptional academic credentials, strong communication and drafting skills, and a high motivation to collaborate within a national team are essential.Duties:

Led and managed mergers and acquisitions transactions with minimal supervision.Provide legal counsel on general corporate matters related to M&A activities.Conducted due diligence investigations and drafted necessary documentation for M&A transactions.Advise clients on regulatory compliance issues and potential risks associated with M&A deals.Collaborate with internal teams and external stakeholders to ensure smooth execution of transactions.Stay updated on relevant legal developments and industry trends in mergers and acquisitions.Requirements:

Juris Doctor (J.D.) degree from an accredited law school.Admission to the Maryland State Bar or eligibility for admission via reciprocity.Minimum of 9 years of experience practicing law, focusing on mergers and acquisitions.Demonstrated ability to handle M&A transactions from start to finish independently.Strong understanding of corporate governance principles and regulatory frameworks.Excellent analytical and problem-solving skills with attention to detail.Proven track record of delivering high-quality legal services within established timelines.Ability to work effectively independently and as part of a collaborative team environment.Preferred Qualifications:

Experience advising clients in a private company and/or private equity transactions.Familiarity with tax implications and financial considerations in M&A transactions.Previous experience working in a national law firm or corporate legal department.Membership in relevant professional associations or organizations.Skills:

Exceptional legal research and writing abilities.Proficiency in drafting and reviewing complex legal documents.Strong negotiation and interpersonal skills.Ability to effectively communicate legal concepts to clients and stakeholders.Proficient in Microsoft Office Suite and legal research tools.Detail-oriented with a commitment to accuracy and confidentiality.
