The ideal candidate will have 8+ years of corporate transactional experience, with a strong focus on handling mergers and acquisitions. Equity financing experience (venture capital and private equity) and general corporate work are desirable. The candidate should have a portable book of business and be admitted to the Arizona Bar or be eligible for admission. Admission to the California, Colorado, and/or Nevada Bar would be a plus.Duties:Led and managed mergers and acquisitions transactions from inception to closing.Draft and negotiate transactional documents, including purchase agreements, merger agreements, and ancillary agreements.Conduct due diligence investigations and assess risks associated with transactions.Advise clients on corporate governance matters and strategic business decisions.Provide legal counsel on equity financing transactions, including venture capital and private equity investments.Handle general corporate matters, including entity formation, corporate restructuring, and contract drafting and negotiation.Cultivate and maintain relationships with clients and prospective clients to develop a portable book of business.Collaborate with other attorneys and practice groups within the firm to provide comprehensive legal services to clients.Requirements:8+ years of corporate transactional experience.Extensive experience handling mergers and acquisitions transactions.Equity financing experience, particularly in venture capital and private equity, is a plus.A portable book of business is required.Admission to the Arizona Bar or eligibility for admission.Admission to the California, Colorado, and/or Nevada Bar would be beneficial.Education:Juris Doctor (JD) from an accredited law school.Skills:Strong knowledge of mergers and acquisitions law and corporate transactions.Excellent drafting and negotiation skills.Ability to conduct thorough due diligence and assess risks.Experience with equity financing transactions, including venture capital and private equity.Business development and client relationship management abilities.Team leadership and management skills.Strong communication and interpersonal skills.
