A law firm is seeking a highly skilled and experienced Corporate Mergers and Acquisitions Private Equity Associate Attorney to join its dynamic team in Houston, TX. The ideal candidate will have a strong background in mergers and acquisitions and private equity transactions, excellent writing and analytical skills, and experience working in an Am Law 100 firm. This role requires a deep understanding of corporate law, exceptional problem-solving abilities, and a commitment to providing high-quality legal services.Duties:Handle complex mergers and acquisitions (M&A) and private equity transactions from inception to closing.Draft, review, and negotiate a wide range of transactional documents, including purchase agreements, merger agreements, joint venture agreements, and other related documents.Conduct thorough due diligence investigations, identifying and addressing potential legal issues and risks.Advise clients on transaction structuring, regulatory compliance, and corporate governance matters.Collaborate with internal teams and external advisors to ensure seamless execution of transactions.Provide ongoing legal support to clients on post-closing integration and other corporate matters.Maintain up-to-date knowledge of relevant laws and regulations affecting corporate transactions.Assist in business development activities, including client presentations and drafting proposals.Mentor and supervise junior associates and support staff as needed.Requirements:4-6 years of mergers and acquisitions and private equity transactional experience in an Am Law firm.Proven track record of handling complex M&A and private equity transactions.Excellent writing and analytical skills.Strong interpersonal and communication skills, with the ability to work effectively with clients, colleagues, and external parties.Demonstrated ability to manage multiple projects and meet deadlines in a fast-paced environment.High level of professionalism and ethical standards.Admission to the Texas Bar is required.Education:Juris Doctor (JD) degree from an ABA-accredited law school.Certifications:Admission to the Texas Bar.Skills:Proficiency in drafting and negotiating complex transactional documents.Strong analytical and problem-solving abilities.Ability to conduct thorough due diligence and identify potential legal issues.Excellent organizational skills and attention to detail.Ability to work independently and as part of a team.Proficiency in legal research tools and software.High degree of initiative and self-motivation.Job Location:
