The ideal candidate will have a strong background in mergers and acquisitions and private equity transactions, excellent writing and analytical skills, and experience working in an Am Law 100 firm.Duties and Responsibilities:Represent clients in complex mergers and acquisitions, private equity transactions, and corporate matters.Draft, review, and negotiate transaction documents, including purchase agreements, shareholder agreements, and other corporate contracts.Advise clients on corporate governance issues and compliance with federal and state securities laws.Work closely with partners, associates, and clients to ensure successful transaction closings.Manage multiple transactions simultaneously, ensuring all deadlines are met.Assist in structuring transactions and providing strategic legal advice to clients.Stay abreast of industry trends and changes in relevant laws and regulations.Participate in business development activities and client pitches.Requirements:4-6 years of mergers and acquisitions and private equity transactional experience.Experience working in an Am Law 100 law firm.Excellent writing and analytical skills.Strong organizational skills and attention to detail.Ability to manage multiple projects and meet deadlines in a fast-paced environment.Strong interpersonal and communication skills.Ability to work both independently and as part of a team.Education and Certifications:Juris Doctor (JD) degree from an ABA-accredited law school.Admission to the Georgia Bar.Skills:Proficiency in legal research and writing.Advanced knowledge of corporate law, mergers and acquisitions, and private equity transactions.High level of professionalism and strong work ethic.Ability to build and maintain strong client relationships.Proficiency in using legal research tools and technology.Strong negotiation and problem-solving skills.Ability to provide practical, business-oriented legal advice.
