Reporting to the Deputy General Counsel, Corporate Transactions & Governance, you’ll play a key role working with our corporate development and finance teams on high-profile M&A, capital markets and other strategic transactions, as well as other corporate and contract law matters. You’ll also have the opportunity to develop our global governance practices to support the company in its growth journey. The ideal candidate will have a strong background in corporate transactional and finance matters with an emphasis on mergers and acquisitions, divestures, contract law, corporate governance, and securities law. This role is based in the United States and may be fully remote.What You’ll Do

Serve as legal subject matter expert on strategic corporate and M&A transactions, including drafting, reviewing, and negotiating transaction documentsLead legal due diligence activities and advise on structuring, antitrust and other compliance mattersPartner with cross-functional teams to support corporate development initiatives, transactions, and integrationsDraft and negotiate contracts, including confidentiality, vendor, and partnership agreementsCoordinate and oversee the work of external counselAssist with the company’s securities offerings and financial transactionsSupport the treasury function, including advising on compliance with debt covenantsSupport the corporate secretarial function, including assisting with the preparation of board and committee materialsAdvise on regulatory and compliance matters, including global subsidiary management, as well as developing, implementing, and leading training on policiesStay current on trends, legal developments, and best practicesWork on other corporate transactional and governance matters, as neededPreferred Qualifications

Experience working at or advising on corporate transactions for technology companiesExperience supporting corporate finance and global subsidiary management activitiesDemonstrated knowledge of, and ability to navigate, complex legal and regulatory compliance issuesTeam player who is also able to self-start and work independently. Deal/negotiation experience is essentialPositive, problem-solving, business focused attitude with good judgment and the ability to manage multiple projects simultaneously, on schedule and without compromising ethics or integrityTrack record of establishing strong working relationships with internal/external business clients, including senior leaders, and within the legal departmentExcellent organizational, project management, problem-solving and communication skills, with strong attention to detailHigh degree of professionalism and discretion in handling confidential legal mattersMinimum Requirements

J.D. degree from a top-tier law school in the United States and licensed to practice law in good standing in at least one state in the United StatesAt least seven years of experience in M&A, transactional and/or capital markets practicePrior experience working as a corporate transactional attorney at a reputable law firm or in an in-house corporate legal department at a public or late-stage private companyExcellent academic credentialsCompensation

This role has a market-competitive salary with an anticipated base compensation range listed below. Actual salaries will vary depending on a candidate’s experience, qualifications, skills, and location. This role might also be eligible for a commission or performance-based bonus opportunities.$137,150.00 - $284,850.00Benefits
