Join the team and create the future of customer experience together.Genesys is looking for an experienced corporate and securities lawyer to join our growing legal team. Reporting to the Deputy General Counsel, Corporate Transactions & Governance, you'll play a key role working with our corporate development and finance teams on high-profile M&A, capital markets and other strategic transactions, as well as on other corporate compliance and disclosure matters.What You'll Do:Serve as the lead legal advisor on strategic corporate and M&A transactions, including drafting, reviewing, and negotiating transaction documents.Lead legal due diligence activities and provide counsel on structuring, antitrust and other compliance matters.Partner with cross-functional teams to support corporate development initiatives, transactions, and integrations.Draft and negotiate a wide range of contracts, including confidentiality, vendor, and partnership agreements.Advise on the company's debt and equity securities offerings and financial transactions.Support the treasury function, including advising on compliance with debt covenants and managing financial risk.Oversee the preparation and filing of 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reports, and related documents and disclosure, ensuring accuracy, timeliness, and compliance.Work closely with senior leadership and investor relations on disclosure matters.Assist with public communications, including press releases and investor presentations.Advise on the company's sustainability reporting efforts and alignment with evolving global standards and regulations.Advise on corporate secretarial, regulatory and compliance matters, including global legal entity governance.Develop, implement, and lead training on corporate policies and legal developments.Stay current on trends, legal developments, and best practices.Coordinate and oversee the work of external counsel to optimize outcomes and manage costs.Work on other corporate transactional, contract and governance matters, as needed.Preferred Qualifications:Experience working at or advising on corporate transactions for technology companies, including mergers and acquisitions.Experience in capital markets and advising companies on compliance with 1933 and 1934 Act matters, exchange listing requirements, and corporate governance.Experience supporting corporate finance and global subsidiary management activities.Demonstrated knowledge of, and ability to navigate, complex legal and regulatory compliance issues.Team player who is also able to self-start and work independently. Deal/negotiation experience is essential.Positive, problem-solving, business focused attitude with good judgment and the ability to prioritize and manage multiple projects simultaneously, on schedule and without compromising ethics or integrity.Experience establishing excellent working relationships with internal and external business clients, including senior leaders, and within the legal department.Excellent organizational, project management, problem-solving and communication skills, with thorough attention to detail.High degree of professionalism and discretion in handling confidential legal matters.Minimum Requirements:J.D. degree from a top-tier law school in the United States and licensed to practice law in good standing in at least one state in the United States.At least seven years of experience in M&A, capital markets and/or corporate advisory practice.Prior experience working as a corporate transactional attorney at a reputable law firm or in an in-house corporate legal department at a public or late-stage private company.Excellent academic credentials.Compensation:This role has a market-competitive salary with an anticipated base compensation range listed below. Actual salaries will vary depending on a candidate's experience, qualifications, skills, and location.
