The Corporate Lawyer (“CL”) will provide legal advice and counsel on various legal issues facing the Company and its affiliates. Additionally, the CL will enhance the Legal Department's function by implementing processes to improve the efficiency, effectiveness, and performance of the legal team and control costs. The CL will report to the General Counsel and work in a Kerecis office.Essential Tasks
Provide legal advice and services in support of the operations of the Company.Provide advice regarding and prepare and review corporate and business-related documents, including non-disclosure agreements, representative agreements, distribution agreements, state qualifications, and related documents.Provide advice regarding and prepare and review documents in medical-legal matters, including informed consent, privacy, clinical trials, research matters, and federal and state health care regulatory requirements (e.g., the Stark Law, the Anti-kickback Statute, HIPAA).Analyze the impact and application of federal and state health care laws and regulations, including the Anti-Kickback statute, Stark law, False Claims Act, HIPAA, fraud and abuse laws, the Affordable Care Act, and Medicare related regulations in relation to the clinical, strategic, and business operations of the Company.Provide advice regarding and prepare and review employment related documents, including employment letters, non-disclosure and non-competition agreements, compensation plans, employee discipline, and terminations.Provide advice regarding relationships and transactions with hospitals, physicians, vendors, third-party payors, and administrative agencies.Assist in the preparation, review, and negotiation of documents for complex transactions.Prepare and review other documents to assist the business and clinical functions of the Company.Assist in the management of corporate compliance matters.Coordinate with outside counsel as applicable.Create internal systems for management of Company documents and critical decision timelines.Coordinate employment- and compliance-related training for Company management.Partner with Finance regarding Legal Department budgeting and forecasting.Requirements
Education & Experience
Juris Doctorate granted by an ABA accredited law school.Minimum five years of legal experience, preferably in one or more of the following areas: federal and state employment law; corporate, business and commercial law; federal government contracting, ethics, and compliance; intellectual property; ideally, experience and/or exposure to all.Experience advising clients on commercial transactions; excellent written and oral communication skills; strong analytical and interpersonal skills and cross-cultural competencies; highest level of integrity and professionalism; experience working collegially and professionally in a diverse environment with peers, subordinates, and clients.Motivation and ability to succeed in an entrepreneurial, high-growth, and demanding environment.This job description is not designed to cover or contain a comprehensive listing of activities, duties or responsibilities that are required of the employee for this job.
