Onit is seeking a
Corporate Attorney
who will provide legal support and advise to key business stakeholders on issues related to a variety of topics, including commercial transactions, intellectual property, privacy and risk management. This role will report to the General Counsel and can be based in Onit’s Austin or Houston, Texas offices.
Key Responsibilities:Manage a team of two non-attorney contract specialists and work with business clients, customers and suppliers to draft, review and negotiate a wide variety of commercial and technology related transactions, including strategic SaaS sales and partnership transactions, inbound and outbound licensing and/or servicing agreements, nondisclosure agreements, government contracts, and strategic collaboration agreements.Manage one procurement specialist and assist with complex vendor/supplier agreements.Collaborate with team members within and across the organization, including Sales, Service, Support, Cloud Ops, Finance/Accounting, InfoSec, Development and Compliance.Support executives and business leaders with respect to legal and general compliance matters within the Company.Manage the Company’s intellectual property portfolio and work with the R&D team to address appropriate open source usage.Collaborate with the Information Security Team on cybersecurity issues and provide guidance in areas involving global data privacy laws, including GDPR and CCPA.Work with business and corporate teams to identify issues and developments that arise in other substantive areas of law such as corporate, intellectual property, antitrust, privacy, FCPA and trade compliance (export control).Manage customer disputes/litigation, as well as subpoena responses, as necessary.Provide guidance on bankruptcy and collection matters.Handle Special Projects as directed by the General Counsel.Desired Qualifications and Experience:Admitted to practice law and in good standing within the United States.Minimum of 5 years law firm or in-house experience in corporate and commercial transactions and regulatory compliance.Strong SaaS transactional experience, with excellent business judgment and interpersonal skills, keen understanding of data privacy and security issues, and creative problem-solving capabilities to close deals.Comfortable and adept at teaming with colleagues in fast-paced, customer-facing transactions, demonstrate competencies as a critical thinker and proactive problem solver.Commercially-minded but with focused attention on risk and compliance.Detail-oriented, ability to juggle multiple transactions and projects simultaneously under deadline pressure.Experience working with a geographically diverse team across multiple time zones.Highly self-motivated and able to operate both autonomously and in a close team environment.Some travel and work during non-standard business hours may be required.
