Ideally, this will be a hybrid position based at an M&T Bank location. Depending upon the location of the final candidate, it might be a remote position.Overview:

The Assistant General Counsel - Commercial Bank provides transactional and regulatory support to M&T’s Treasury Group and Broker-Dealer Affiliate. Specifically, this position will support our business partners in advising on the following: (i) derivatives transactions used to hedge customer loan and bank balance sheet transactions, (ii) the issuance of M&T Bank Debt and other liquidity management transactions, and (iii) the origination and management of corporate private placements; each including reviewing and negotiating derivatives documentation (ISDA Master Agreements), financing documents, assisting in deal structuring, issuer due diligence and managing outside counsel. In addition, the Assistant General Counsel will assist with Broker-Dealer regulatory and compliance activities, including reviewing/drafting policies & procedures and reviewing marketing materials. This is a dynamic, high-profile position for a self-starting lawyer willing to dive into several new and challenging projects. The incumbent will collaborate with outside legal counsel on legal matters. Counsel leads efforts to mitigate complex legal risks facing M&T and develops and executes corporate policy and positions on legal issues.Primary Responsibilities

Provide strategic legal advice and opinion to the organization and answer day-to-day questions from business personnel.Provide guidance and support for existing products, new product design, geographic expansion, etc., taking into account all applicable laws, rules and regulations.May represent the organization in litigation matters for assigned businesses or bank functions.Draft, review and advise on business and legal documents including regulatory disclosures, marketing material and licensing statutes.Lead in the development and interpretation of departmental policies. Research and review existing law and make recommendations regarding new procedures and policies.Understand and adhere to the Company’s risk and regulatory standards, policies and controls in accordance with the Company’s Risk Appetite. Identify risk-related issues needing escalation to management.Scope Of Responsibilities

This position is responsible for providing strategic analysis and counsel on complex legal issues for assigned business units. The incumbent should be able to anticipate and guard against legal risks facing M&T, develop and recommend corporate policy and positions on legal issues and conduct and coordinate research into a variety of legal issues. This position requires interaction with mid to senior level management.Supervisory/ Managerial Responsibilities

Provide guidance to junior staff members; may supervise Paralegals and administrative staff.Education And Experience Required

J.D. from an accredited law school.Minimum of 4 years' experience as an attorney or other relevant legal experience.New York State or applicable state bar admission.Four or more years of experience as an attorney with a law firm or in-house at a financial institution, including specific experience in the following areas: corporate private placements and issuer due diligence; ABS, RMBS and CMBS securitizations, Mortgage warehousing transactions, derivatives documentation / transactions.Demonstrated ability to effectively and efficiently manage outside counsel.Ability to identify legal issues, evaluate legal risks, and offer solutions.Strong negotiation, interpersonal, organizational skills.Excellent writing, analytical and verbal skills.Strong analytical and decision-making skills.Excellent organizational skills, and ability to pivot quickly across assignments and complete projects efficiently, timely and with minimal supervision.Strong customer service orientation.Ability and desire to work in an environment that emphasizes information sharing, collaboration, teamwork, mutual respect and integrity.Preferred Experience/Qualification

Familiarity with Broker-Dealer regulations is a plus.M&T Bank is committed to fair, competitive, and market-informed pay for our employees. The pay range for this position is $130,795.52 - $217,992.53 Annual (USD). The successful candidate’s particular combination of knowledge, skills, and experience will inform their specific compensation.Location
