Latitude is seeking an experienced General Counsel and Compliance Officer with a strong real estate background to lead the corporate strategic and tactical legal initiatives of a family of real estate companies. Interested candidates should have at least 6 years of experience working in a law firm or in-house corporate setting. This position works directly with the CFO and CEO to provide senior management with effective advice on company strategies and implementation, manages the legal functions of the parent company and its subsidiaries, and oversees the work of outside counsel. The General Counsel will be directly involved in complex business transactions and negotiating critical contracts. Candidates must be licensed and in good standing in Pennsylvania.

Responsibilities of the General Counsel & Compliance Officer:

Serve as level advisor on all major business transactions, including acquisitions, divestitures and joint ventures, as well as employment law and licensingParticipate in the definition and development of corporate policies, procedures, and programs and provide continuing counsel and guidance on all legal mattersAssist the company in navigating the increasingly complex banking regulatory landscapeWork collaboratively with Acquisitions, Development, and Operations to handle all real estate mattersManage litigation, internal investigations, and responses to government inquiriesJudge the merits of major court cases filed against or on behalf of the company, work with the appropriate executives to define a strategic defense and approve settlements of disputes where warrantedAssume ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulationsStructure and manage the company’s legal functions and staffSelect, retain, manage, and evaluate all outside counselAdvise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entitiesResponsible for administrative reporting and maintenance of corporate records and contractsRequirements for the General Counsel & Compliance Officer:

At least 6 years of experience in the corporate legal department of a law firm or an in-house corporate role (or both)Strong real estate background requiredProven track record of confronting complex legal and compliance matters with significant financial and business impactLicensed to practice and in good standing in PennsylvaniaJ.D. from an accredited law school and excellent academic credentialsAbility to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associatesStrong attention to detail with the ability to multitask effectivelyClear thinker with a strong process, focus, and results orientationPosition Details of the General Counsel & Compliance Officer:

Pay: The salary range for this role is $215,000-$300,000.
