We are seeking an Attorney, Commercial Contracts, to provide counsel and guidance in support of commercial sales transactions. Primary responsibilities include preparing, negotiating, and managing commercial sales contracts and related legal documents in support of direct sales and indirect channel partner sales transactions. In addition, this role is responsible for similar agreements and documents for purchases of products and services by the company. The ideal candidate will have three or more years of experience supporting commercial sales transactions, preferably for a global corporation selling telecommunication products and services to telecommunication carriers and enterprise customers.
Desired Qualifications:The successful Commercial Contract Attorney will demonstrate strong attention to detail and knowledge of contracting terms and conditions along with the ability to identify and minimize potential financial and legal risks and exposures under commercial sales contracts. We’re looking for someone with proven ability to analyze contracts with an eye toward reducing costs and increasing profits, while ensuring compliance with the law. Our ideal candidate has previous experience independently negotiating and managing contracts and is familiar with contract terms and conditions for various types of sales and vendor agreements and related documentation.
Responsibilities:Prepare sales contractsNegotiate contract terms with customers, partners, and vendorsReview and update existing contractsExplain terms and conditions to managers and interested partiesEnsure that employees understand and comply with company contractsAnalyze potential risks involved with specific contract termsCoordinate with the legal department and other internal cross-functional company groups as neededMaintain organized system of physical and digital contracts for archive repositoryCreate language standards for existing and new contracts
Additional Qualifications:Hands on experience as a Commercial Contract AttorneyExtensive contracting experienceKnowledge of contracting law and principlesAbility to work with varying seniority levels, including staff, managers and external customers, partners, and vendorsExcellent writing skillsKeen attention to detail, with an ability to spot errorsStrong analytical and organizational skills
