You’re deadline and results-driven, passionate about creating new processes, systems, and best practices that help your internal partners do their best work.About this role You will be expected to think and act both strategically and tactically in support of the Company, providing business-focused advice with respect to our key initiatives, including filings with the SEC, mergers, acquisitions, financing agreements, expansion strategy, corporate development, and corporate governance efforts. Equally important, the role requires the ability to build and maintain partnerships with key stakeholders in the Company to effectively represent the Legal Department. You will demonstrate strong analytical skills and an ability to problem solve and think creatively, and you must be attuned to working with a sense of urgency and accountability. You will demonstrate leadership, take criticism positively, and seek process improvement.What you'll be doingResponsible for preparation, review, and filing of SEC filings and related documents, including current and periodic reports (10-K/10-Q/8-K), proxy statements, registration statements, Section 16 filings, and other securities law filings;Assist in drafting and reviewing other disclosures and corporate communications, including earnings releases, press releases, investor presentations, and internal communications;Support all aspects of corporate governance functions including advising our board of directors and committees, preparation of board materials, setting agendas, and preparing minutes;Support the legal aspects of our equity program administration, including administration of our 10b5-1 plans, evaluating pre-clearance for restricted persons, and overseeing securities trading policy compliance;Partner across the business with executives and corporate development personnel as a trusted advisor to manage all stages of mergers, acquisitions, joint ventures, and other strategic business opportunities, lead due diligence, draft and negotiate term sheets and transaction documents, manage corporate governance aspects, and support post-closing integration efforts;Manage outside counsel and ensure they are tracking to budget;Research, monitor, and analyze relevant laws and regulations and advise management and the board of such developments; andPerform other duties as assigned/required.What you’ll haveBar admission or equivalent and in good standing to practice law in your relevant jurisdiction;10+ years of experience supporting SEC filings, corporate governance, M&A and related transactions with both a major law firm and in-house;Extensive experience with publicly traded companies, corporate governance, and corporate entity matters;Experience with technology companies is a plus; andExcellent and professional command of the English language in a written and verbal capacity.About your skillsDemonstrate strong analytical skills and an ability to problem solve and think creatively in a fast-paced environment;Demonstrate leadership, take criticism positively, and champion process improvement;Be a highly analytical self-starter with the acumen to build relationships across the organization;Be able to work independently and develop strong relationships with peers in accounting, finance, investor relations, and other departments;Provide regular reporting to internal department stakeholdersEnjoy April Fools pranks and Halloween shenanigans and have the ability and desire to contribute productively to both; andHave a strong work ethic.We understand that not everyone will match each of the above qualifications. Actual compensation for this role is based on several factors, including but not limited to job-related skills, qualifications, experience, and specific work location due to differences in the cost of labor. In addition to a base salary, this role is also eligible for benefits, equity and a bonus. Hiring Compensation Range$200,000—$300,000 USD
