The ideal candidate will have a minimum of 4+ years of experience in a law firm environment focusing on representing tax-exempt organizations. Legal expertise in contracts, governance, corporate structures, component/affiliate relations, licensing, membership programs, and lobbying is highly valued. Admission to the DC Bar is required for this position.Duties:Provide legal counsel and representation to nonprofit organizations and associations.Draft and review legal documents, including contracts, bylaws, articles of incorporation, and policy documents.Advise clients on governance issues, corporate structures, and compliance matters.Assist with the formation and dissolution of nonprofit entities.Conduct legal research and analysis on nonprofit and tax-exempt organization laws and regulations.Represent clients in administrative proceedings and before regulatory agencies.Negotiate and draft licensing, membership programs, and affiliate relationship agreements.Assist clients with lobbying activities and compliance with lobbying laws.Requirements:Juris Doctor (JD) degree from an accredited law school.Minimum of 4+ years of experience practicing law, preferably in a law firm setting.Experience representing tax-exempt organizations is strongly preferred.Admission to the District of Columbia Bar.Strong understanding of nonprofit and tax-exempt organization laws and regulations.Excellent written and verbal communication skills.Ability to work independently and collaboratively in a fast-paced environment.Attention to detail and strong analytical skills.Certifications:Admission to the District of Columbia Bar is required.Skills:Legal research and writingContract drafting and negotiationGovernance and complianceNonprofit and tax-exempt organization lawAdvocacy and representationCommunication and interpersonal skillsAttention to detail and analytical thinking
